1. Acceptance and Scope
These Terms of Service (“Terms”) form a legally binding agreement between you and AgentPaywall (“AgentPaywall”, “we”, “us”, or “our”). They apply to your access to and use of our website, dashboard, APIs, SDK, documentation, and any related tools (collectively, the “Services”).
If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms. In that case, “you” means that entity and its authorized users.
2. Eligibility and Accounts
You must be at least the age of majority in your jurisdiction and legally capable of entering into contracts. You are responsible for maintaining the confidentiality and security of your wallet credentials, API keys, and account access.
- You must provide accurate and current registration information.
- You are responsible for all activity performed through your account and API keys.
- You must promptly notify us of suspected unauthorized access, key exposure, or security incidents.
3. Platform Role
AgentPaywall provides software infrastructure that helps API providers enforce per-call payments and helps consumers submit payment proof. AgentPaywall is not a bank, custodian, broker, money transmitter, investment adviser, or fiduciary.
We do not control blockchain networks, validators, mempools, token issuers, wallet providers, or third-party RPC services. Transaction confirmation, finality, network congestion, and blockchain availability are outside our direct control.
4. Payments and Finality
Services may involve on-chain USDC payments to API providers. You acknowledge and agree that blockchain transactions are generally irreversible after confirmation and may not support chargebacks in the way card payments do.
- Prices and fees are displayed by API providers or in platform interfaces.
- Network fees and wallet provider fees are your responsibility.
- If you send payment to an incorrect address or chain, recovery may be impossible.
- Any refunds are handled under our Payments and Refunds Policy and may be limited by blockchain finality.
5. Developer Obligations
If you publish or monetize APIs through AgentPaywall, you are solely responsible for your API content, legal compliance, pricing disclosures, uptime claims, and user communications.
- Provide accurate API descriptions, pricing, and capability statements.
- Do not misrepresent data quality, source provenance, or output guarantees.
- Implement reasonable security controls and incident response procedures.
- Comply with applicable consumer, data protection, export, and sanctions laws.
- Maintain adequate records for taxes, accounting, and regulatory inquiries.
6. Consumer Obligations
If you consume paid APIs, you agree to use returned data lawfully and in compliance with provider terms, these Terms, and applicable laws.
- You may not circumvent payment requirements or replay signatures improperly.
- You may not abuse, scrape, or overload Services beyond permitted usage.
- You are responsible for validating API outputs before production reliance.
7. Prohibited Conduct
You agree not to use Services for unlawful, harmful, or abusive behavior, including:
- Fraud, phishing, malware, or unauthorized access attempts.
- Sanctions evasion, money laundering, or financing prohibited activity.
- Intellectual property infringement or misuse of confidential information.
- Interference with platform integrity, including denial-of-service attacks.
- Use cases involving illegal content or illegal products or services.
8. Intellectual Property
AgentPaywall and its licensors own all rights, title, and interest in the Services, including software, branding, and documentation, except open-source components provided under their respective licenses.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services. You may not reverse engineer, copy, modify, or create derivative works except as allowed by applicable law or open-source licenses.
9. Third Party Services
Services may integrate with or depend on third-party services, including wallet providers, node providers, analytics tools, hosting platforms, and social login providers. Your use of those services is governed by their terms and privacy policies.
We are not responsible for third-party outages, breaches, policy changes, or acts and omissions of third-party operators.
10. Suspension and Termination
We may suspend or terminate access to Services where reasonably necessary to protect users, enforce these Terms, investigate abuse, comply with law, or address security risks.
Upon termination, provisions that by nature should survive continue to apply, including intellectual property, payment finality, disclaimer, liability, indemnity, and dispute terms.
11. Disclaimers
Services are provided on an “as is” and “as available” basis to the maximum extent permitted by law. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant uninterrupted availability, error-free operation, absolute security, or that APIs listed by third parties will meet your expectations.
12. Limitation of Liability
To the maximum extent permitted by law, AgentPaywall will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or business interruption.
To the maximum extent permitted by law, our aggregate liability for claims related to Services will not exceed the greater of (a) amounts paid by you to AgentPaywall in the 12 months before the claim, or (b) USD 100.
13. Indemnification
You agree to defend, indemnify, and hold harmless AgentPaywall and its officers, directors, employees, and affiliates from and against third-party claims, liabilities, losses, and expenses (including reasonable legal fees) arising from or related to your use of Services, your content, your APIs, or your violation of these Terms or applicable law.
14. Governing Law and Disputes
These Terms are governed by the laws of India, excluding conflict-of-law rules. You agree that disputes will be resolved in the courts located in Bengaluru, Karnataka, India unless mandatory consumer protection law requires otherwise.
Before filing formal claims, both parties agree to attempt good-faith resolution by written notice and a reasonable negotiation period.
15. Changes and Contact
We may update these Terms from time to time. Material changes will be posted with a new “Last updated” date. Continued use of Services after updates means you accept the revised Terms.
